1) Agreement to Terms
By accessing or using HealthFees.org (the “Site”) and any related APIs, data, or services (collectively, the “Services”), you agree to be bound by these Terms of Use (the “Terms”). If you do not agree, do not access or use the Services.
2) Key Definitions
- “We,” “Us,” “Our”
- HealthFees.org and its affiliates, officers, employees, and agents.
- “You,” “User”
- Any person or entity that accesses or uses the Services.
- “PHI”
- Protected Health Information as defined under HIPAA and related regulations.
- “Beta Features”
- Experimental or pre-release features, tools, or services we designate as beta.
3) Use License
We grant you a limited, non-exclusive, non-transferable, revocable license to access the Site for personal, non-commercial, transitory viewing. This license does not permit:
- Modifying, copying, or creating derivative works of the materials;
- Commercial use, resale, or public display without written permission;
- Reverse engineering, decompiling, or extracting datasets or models;
- Removing copyright, trademark, or proprietary notices; or
- Mirroring or framing the materials on other servers or services.
4) Disclaimers of Warranty
As-Is / As-Available. The Services and all content are provided “as is” and “as available.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, and accuracy or reliability of data.
We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, or that defects will be corrected.
5) No Medical or Legal Advice
All content is for informational purposes only and does not constitute medical, legal, financial, or professional advice. You should consult qualified professionals before making decisions related to healthcare, insurance, or legal rights.
6) User Responsibilities
- Use the Services only for lawful purposes and in accordance with these Terms.
- Verify prices, coverage, and provider details with your provider/insurer before seeking care.
- Maintain the security of account credentials and promptly notify us of any breach.
- Provide accurate information and keep it up to date.
- Respect rate limits and technical controls on any APIs or data access.
7) Prohibited Uses / Abuse Policy
- Illegal activity, harassment, exploitation, or harm to minors.
- Unlawful scraping, bulk extraction, or automated collection that circumvents our controls.
- Attempting unauthorized access to systems, data, or accounts.
- Interfering with or degrading network, API, or service performance.
- Re-identifying individuals or creating datasets intended to do so.
- Using the Services to build competing data products without written permission.
8) Indemnification
You agree to defend, indemnify, and hold harmless HealthFees.org and its affiliates, officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any law or third-party rights.
9) Limitation of Liability
To the fullest extent permitted by law, HealthFees.org and its affiliates, officers, directors, employees, agents, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for lost profits, revenues, goodwill, data, or business interruption, arising out of or related to your use of (or inability to use) the Services.
Our total liability for any claim will not exceed the greater of $100 or the amount you paid to HealthFees.org for the Services giving rise to the claim during the twelve (12) months preceding the event. Some jurisdictions do not allow certain limitations; portions of this section may not apply to you.
10) HIPAA Compliance & PHI Handling
HealthFees.org is not a healthcare provider and is not a HIPAA “covered entity.” If and when we process PHI as a “business associate,” we will do so under a written Business Associate Agreement (BAA) and will implement reasonable and appropriate safeguards consistent with applicable law.
- Submit PHI only through designated secure intake flows; do not submit PHI via general contact forms or public fields.
- PHI, if collected, is used solely to provide requested services and is not used to train AI models.
- We will provide breach notifications as required by applicable law.
11) AI Use Disclaimer (if applicable)
Some features may use artificial intelligence to generate insights or suggestions. Outputs can be incorrect, incomplete, or outdated. You are responsible for verifying outputs before relying on them. Do not use AI outputs for medical, legal, financial, or safety-critical decisions.
12) Beta / Experimental Tools Disclaimer
We may offer Beta Features for evaluation. Beta Features are provided “as is,” may change or be discontinued without notice, and may not meet the same reliability, security, or support levels as generally available Services. Your use is at your own risk.
13) Accuracy of Materials
The Site may include technical, typographical, or data source errors. We do not warrant that materials are accurate, complete, or current, and we may update content at any time without notice.
14) Third-Party Links
Third-party websites linked from the Site are not controlled or reviewed by us. We are not responsible for their content or practices. Use of linked sites is at your own risk and does not imply endorsement.
15) Binding Arbitration & Class Action Waiver
Please read this section carefully—it affects your rights.
Agreement to Arbitrate. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by JAMS under its applicable rules. The seat and venue of arbitration will be San Francicso County, California. The arbitrator has exclusive authority to resolve all disputes, including issues of arbitrability.
Class Action Waiver. You and HealthFees.org may bring claims only in your individual capacities and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.
Injunctive Relief. Either party may seek temporary or preliminary injunctive relief in court to prevent actual or threatened misuse of confidential information or intellectual property.
Opt-Out Option
You may opt out of arbitration within thirty (30) days after you first accept these Terms by emailing legal@healthfees.org with your name, the email associated with your account, and a clear statement that you are opting out of arbitration. If you opt out, disputes will be resolved exclusively in the courts specified below.
16) Jurisdiction & Governing Law (California)
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Subject to the arbitration agreement above, you consent to the exclusive jurisdiction and venue of the state and federal courts located in San Francicso County, California.
17) Right to Modify Terms
We may update these Terms at any time by posting a revised version with an updated date. Changes become effective upon posting. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
18) Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any breach of these Terms or to comply with law. Upon termination, your license will automatically end. Sections that by their nature should survive termination (e.g., Disclaimers, Limitation of Liability, Indemnification, Arbitration, Governing Law) will survive.
